どの契約書の、どの条項を、どのように修正するのかを明確にドラフト
海外取引を行っていると、既存の契約を修正したり、あるいは変更するための書面（修正契約書：「addendum」や「amendment」と表記されます）を作成する必要が生ずることがあります。
また、実務上、契約の更新のタイミングで新たに修正合意書を作成することもあります。
その際の注意すべき点としては、どの契約書の、どの条項を、どのように修正するのかを明確にするとともに、特に英文契約書においては、残余部分や定義については、既存の契約書どおりであること（変わらず有効であること）、そして当該修正契約がいつから効力を生じるのかを明確にする必要がある点が挙げられます。
また、見落としがちな点としては、英米法上は、修正合意についても新たなconsiderationが必要とされる点も挙げられます。
実務担当者としては、修正合意書を作成する際には、上記の点に留意して、ドラフトをすることが大切です。
以下、サンプルとして、代理店契約に関する修正契約書案を記載しています。
AMENDMENT TO AGENCY AGREEMENT
This Amendment to the Agency Agreement (the "First Amendment") is made and entered into by and between XXX Corp ("Manufacturer") and YYY LIMITED ("Agent") as of June 1, 2022.
Reference is made to that certain Agency Agreement between Manufacturer and Agent dated as of June 1, 2020 (the "Agreement"), pursuant to which Manufacturer engaged Agent to act as Manufacturer's licensing representative in respect of certain merchandise products, during the Term in the Territory. Capitalized terms not otherwise defined herein shall have the same meaning as set forth in the Agreement.
WHEREAS, the initial Term of the Agreement expires on May 31, 2022 (the "Initial Term"); and WHEREAS, the parties hereto desire to modify the Term and certain other provisions in the Agreement as set forth below:
NOW THEREFORE, in consideration of the agreements set forth herein and for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree to amend the Agreement as follows:
Section 1.1(f) of the Agreement is hereby deleted in its entirety and replaced by the following: "TERM: The term of this Agreement is hereby extended for a period commencing as of June 1, 2022 and ending on May 31, 2024 (the "Renewal Term"). All references to the 'Term' in the Agreement shall be deemed to include the Renewal Term where the context so requires."
Section 8.1 of the Agreement is hereby amended by deleting the words "ZZZZZZZZ" therefrom.
The Inventory List in Exhibit A to the Agreement is hereby deleted and superseded by Exhibit A attached hereto, which is hereby incorporated into the Agreement by this reference.
Except as expressly modified herein, all the terms and conditions of the Agreement shall remain unaltered and in full force and effect.
This Amendment shall become effective as of the day and year first above written.
IN WITNESS WHEREOF, the parties hereto have executed this Amendment to Agency Agreement as of the day and year first above written.
